By making your first payment on any project, marketing management plan, hosting and membership, or subscription, you agree to the terms and conditions on this page.

Project - Terms and Conditions


Completion of Work

Sparrow Marketing agrees to complete the agreed work as outlined in this contract for the client to the best of its ability, and with the goal of achieving client satisfaction. This work shall be completed to a similar, high-quality standard as other work Sparrow Marketing has performed in the past. The Client agrees they have reviewed examples of Sparrow Marketing other work and understands their project will be completed in a reasonably similar style and scope.


Meeting the Deadline

Sparrow Marketing agrees to meet the agreed upon deadline to the best of its ability and within reasonable expectations based on both parties circumstances. Sparrow Marketing does not accept liability where delays in reaching a deadline are caused by the customer, for example in the supplying of essential content and/or sign off for work to continue.


Release of Liability

The Client understands that the work Sparrow Marketing performs for The Client may affect The Clients business' name, reputation, image, clientele, income, etc. Sparrow Marketing goal is to improve all aspects mentioned in this clause for The Client and their business, however, results positive or negative are not guaranteed. The Client agrees that by their reviewing and approving the work performed by Sparrow Marketing , The Client releases all liability and cannot hold Sparrow Marketing responsible legally or otherwise for the results of their work.


Hourly Rate Charges

Sparrow Marketing will charge for services that are not included in the agreed, original scope of the project. Sparrow Marketing will review and may adjust their standard hourly rate on an annual basis. There will be a minimum charge of 1 hour.


Termination

This Agreement shall automatically terminate upon the Client’s acceptance of the Deliverables. This Agreement may otherwise be terminated at any time by either Party upon written notice to the other party. Should The Client initiate termination, The Client will be responsible for all costs and expenses incurred prior to the date of termination. Should Sparrow Marketing initiate the termination, Sparrow Marketing releases all deliverables completed prior to termination to The Client and will not follow for further payments not already owed.


Payment Due Date and Late Fees

Payments are due within seven days after The Client receives their invoice from Sparrow Marketing . The Client agrees to pay their due invoices on time. If any invoice is not paid within seven days of due date, a late fee of 1% of the total will be added for each week that passes. Accumulated late fees will be invoiced on either the next regular invoice, or a new invoice within 30 days, whichever comes first.


Pay in Full

The Client agrees to pay the Business the first agreed-upon payment in order for work to begin. The Client agrees to pay the invoice total in full, due at completion of the project or in the agreed-upon monthly-payment timeframe. 


No Refunds

The Customer will be assumed to have accepted the Goods and/or Services unconditionally unless a claim that the Good(s) and/or Service(s) are defective is made within 30 days from the date of delivery.



Membership and Hosting - Terms and Conditions


The Client understands and agrees that their website will remain online as long as they are a member of Sparrow Marketing. This membership fee is required to cover costs associated with hosted and managing the agreed upon web services. Should The Client stop making membership payments, a grace period of 30 days will be provided as a gesture of good faith that payment will be made. After this grace period, their website will be taken offline until membership payments resume and are up-to-date.


PPC and Marketing Management - Terms and Conditions


Performance of Services Provided

The Client can expect new leads to start coming in around the 90 day mark of running your new marketing campaign, although this is usually sooner. Because of this, by hiring Sparrow Marketing as The Clients Google Ads marketing manager, The Client agrees to a minimum of three months and understands Sparrow Marketing cannot guarantee results positive or negative.


The Client understands that the work Sparrow Marketing performs for The Client may affect The Clients business' name, reputation, image, clientele, ad campaign profitability, income, etc. Sparrow Marketing goal is to improve all aspects mentioned in this clause for The Client and their business, however, results positive or negative are not guaranteed. The Client agrees that by their approving the work performed by Sparrow Marketing, The Client releases all liability and cannot hold Sparrow Marketing responsible legally or otherwise for the results of their work.


Sparrow Marketing agrees to complete the agreed work as outlined in this quote for the client to the best of its ability, and with the goal of achieving client satisfaction.


Payments

You The Client authorize Sparrow Marketing to charge your credit card provided for agreed upon purchases and approved Google Ad spend on your approved campaigns. You The Client understand that your information will be saved on file for future transactions related to your Google Ads and digital marketing. You may cancel this authorization at any time by contacting us. This authorization will remain in effect until cancelled.


Sparrow Marketing will charge for services that are not included in the agreed upon, original scope of the project. Sparrow Marketing will review and may adjust their standard hourly rate on a regular basis. The Client will be informed of the current and/or updated hourly rate when it changes. There will be a minimum charge of 1 hour.


Payments are due within seven days after The Client receives their invoice from Sparrow Marketing. The Client agrees to pay their due invoices on time. If any invoice is not paid within seven days of due date (14 days from being sent), a late fee of 1% of the total will be added for each week that passes. Accumulated late fees will be invoiced on either the next regular invoice, or a new invoice within 30 days, whichever comes first.


Marketing Management monthly payments are non-refundable.

Account Management

The Google Ads campaign will be created and managed within the Sparrow Marketing Google Ads accounts system, and the Clients campaign running online is tied to our management of it.

This Agreement shall automatically terminate upon the Client’s acceptance of the Deliverables, or when the Google Ads Marketing Management is cancelled. This Agreement may otherwise be terminated at any time by either Party upon written notice to the other party. Should The Client initiate termination, The Client will be responsible for all costs and expenses incurred prior to the date of termination. Should Sparrow Marketing initiate the termination, Sparrow Marketing releases all deliverables completed prior to termination to The Client and will not follow for further payments not already owed.

*Sparrow Marketing reserves the right to update the hourly and project service rate, as well as these terms and conditions, without prior notice.
